These Terms of Service ("Terms") govern your access to and use of the CoilChat website, application, and chat widget (the "Service") provided by CoilChat ("CoilChat", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind it.
1. The Service
CoilChat provides an AI-assisted customer-support platform with human handoff and a learning loop. We may update, improve, or modify the Service over time. We may also offer features in beta, which are provided "as is" and may change or be discontinued.
2. Accounts & eligibility
You must provide accurate information, keep your credentials secure, and are responsible for all activity under your account. You must be at least 16 years old and able to form a binding contract. You are responsible for your teammates' use of the Service and for assigning appropriate roles.
3. Your content
You retain all rights to the content you provide — your knowledge sources, configuration, and the conversations handled in your workspace ("Customer Content"). You grant us a limited license to host, process, and transmit Customer Content solely to provide and improve the Service for you, including sending relevant content to AI sub-processors to generate responses. We do not use Customer Content to train shared or third-party foundation models.
4. Your responsibilities
If you deploy CoilChat on your own website, you are the controller of your visitors' data. You are responsible for: providing your own privacy notice and obtaining any consents required by law; configuring the Service appropriately (including knowledge sources, grounding settings, and the widget's privacy link); and reviewing the AI's behaviour. You must not connect knowledge sources or process data you do not have the right to use.
5. Acceptable use
You agree not to: use the Service unlawfully or to harm others; upload malware or attempt to breach security or isolation; reverse engineer or scrape the Service except as permitted by law; resell or provide the Service to third parties except as intended; use it to generate unlawful, deceptive, harassing, or infringing content; or exceed rate limits or otherwise disrupt the Service.
6. AI output
The Service uses AI to generate responses and to learn from resolved conversations. AI output can be inaccurate or incomplete, and is provided to assist — not replace — human judgment. You are responsible for reviewing AI-assisted and AI-generated content before relying on it, especially the knowledge approved into your learning loop. CoilChat is designed to ground answers in your knowledge and to escalate when unsure, but does not guarantee that every response is correct.
7. Fees
CoilChat offers free and paid plans. Paid plan fees, usage limits, and billing terms will be presented at the point of purchase and are incorporated into these Terms. Unless stated otherwise, fees are non-refundable except as required by law. We may change pricing prospectively with reasonable notice.
8. Intellectual property
The Service, including its software, design, and trademarks, is owned by CoilChat and its licensors. Except for the rights expressly granted here, we reserve all rights. You may not use our trademarks without permission.
9. Third-party services
The Service integrates with third-party providers (such as AI model and infrastructure providers) and may let you connect third-party data sources. We are not responsible for third-party services, and your use of them may be subject to their own terms.
10. Disclaimers
The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate.
11. Limitation of liability
To the maximum extent permitted by law, CoilChat will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the twelve months before the claim, or USD 100.
12. Indemnification
You agree to indemnify and hold CoilChat harmless from claims, damages, and expenses arising out of your Customer Content, your use of the Service, or your breach of these Terms.
13. Termination
You may stop using the Service and delete your workspace at any time. We may suspend or terminate access if you breach these Terms or to protect the Service or others. On termination, your right to use the Service ends and we will handle your data as described in our Privacy Policy.
14. Changes to these Terms
We may update these Terms from time to time. We will revise the "Last updated" date and, for material changes, provide additional notice where appropriate. Continued use of the Service after changes take effect constitutes acceptance.
15. Governing law
These Terms are governed by the laws applicable at CoilChat's principal place of business, without regard to conflict-of-laws rules, and the courts there will have exclusive jurisdiction, except where mandatory local law provides otherwise.
